1. Acceptance of Terms
By accessing or using TeamYo services, operated by SparkSoft ("we", "our", "Service"), you agree to be bound by these Terms of Service. If you do not agree with any part of the terms, you may not access the Service.
2. Service Description
TeamYo is an absence, holiday, and digital time tracking management platform that enables organisations to manage holiday requests, track absences, record work hours, and facilitate approval workflows.
3. Plans and Pricing
The Service is available in different plans, including free and paid plans. Current pricing is published on our website.
We reserve the right to:
- Change paid plan prices with a minimum of 30 days prior notice
- Modify the features included in each plan
- Introduce new plans or discontinue existing plans
- Offer temporary promotions or discounts
Any price changes will apply at the start of the next billing period after the notice. Continued use of the Service after price changes constitutes acceptance of the new prices.
4. Free Plan
The free plan is offered "as is" and is subject to the following conditions:
- Features included: Leave management, approval workflows, team calendar, balance tracking, and basic reports
- Features not included: Digital time tracking, SSO (Single Sign-On), employee development, advanced reports, and API access
- No perpetuity guarantee: The free plan may be changed, limited, or discontinued at any time
- Usage limits: The free plan is limited to 5 users per organisation
- Changes to the free plan: We reserve the right to modify the limits and features of the free plan with 30 days prior notice
Existing customer protection (Grandfathering): If the free plan is discontinued or significantly altered, customers already using the free plan at the date of announcement will maintain their current conditions for a minimum period of 12 months, or will have the option to export their data and migrate to another plan with a 60-day transition period.
5. Fair Use
All plans, including the free plan, are subject to a fair use policy:
- User limits must be respected (e.g., maximum of 5 users on the free plan)
- Creating multiple accounts to circumvent plan limits is not permitted
- The Service must be used for legitimate human resources management purposes
- Excessive automated usage that may degrade service for other users is not permitted
Violation of this policy may result in account suspension or termination, with or without prior notice, depending on the severity of the violation.
6. User Accounts
To use the Service, you must have an account created by your organisation. You are responsible for:
- Maintaining the confidentiality of your login credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorised use
7. Acceptable Use
You agree not to use the Service for:
- Any illegal or unauthorised purpose
- Violating any applicable laws or regulations
- Interfering with or disrupting the Service or servers
- Attempting to access unauthorised areas or features
- Transmitting viruses or malicious code
8. Intellectual Property
The Service and its original content, features, and design are the property of SparkSoft and are protected by intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without express authorisation.
9. User Content
You retain ownership of the content you submit through the Service. By submitting content, you grant us a licence to use, store, and process that content as necessary to operate the Service.
10. Privacy
Your use of the Service is also subject to our Privacy Policy, which describes how we collect, use, and protect your information.
11. Disclaimer of Warranties
The Service is provided "as is" and "as available", without warranties of any kind, express or implied. We do not guarantee that the Service will be uninterrupted, secure, or error-free.
12. Limitation of Liability
To the maximum extent permitted by law, SparkSoft shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or other intangible losses resulting from the use or inability to use the Service.
13. Service Modifications
We reserve the right to modify or discontinue the Service, temporarily or permanently, with prior notice when reasonably possible. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service, provided we comply with the prior notice commitments set out in these terms.
14. Termination
We may terminate or suspend your access to the Service immediately, without prior notice, for breach of these Terms or the fair use policy. Upon termination, your right to use the Service will cease immediately, but you will have 30 days to export your data.
15. Changes to Terms
We reserve the right to modify these terms at any time. We will notify you of significant changes through the Service or by email with a minimum of 30 days advance notice. Continued use after changes constitutes acceptance of the new terms.
16. Governing Law
These Terms shall be governed and construed in accordance with the laws of Portugal, without regard to its conflict of law principles.
